Independent Representative Agreement

And
You as an independent representative of www.fxcapitalfund.com of the Second Part
Where as as part of becoming an Independent Representative of www.fxcapitalfund.com, you hereby agree that you have willingly accepted all the terms and conditions as set out in the body of this Agreement. www.fxcapitalfund.com has reserved the right to revise this Agreement at any time without any prior notice to you. You have agreed that you should regularly visit this page periodically to review changes, if any, to this Agreement, because this Agreement is binding on you. As an Independent Representative of www.fxcapitalfund.com, you hereby make the below mentioned representations and do hereby agree to the following Policies and Procedures as outlined hereunder:
1. You have fully understood and agree that www.fxcapitalfund.com is not any kind of direct investment program and do not guarantee the projected earnings nor does it guarantee the time frame required for you to earn the commissions
2. You have fully understood and agree that if you have joined the ww.fxcapitalfund.com program based on the projections and promises made by any third party, who are not recognized and supported by www.fxcapitalfund.com Corporate Website then www.fxcapitalfund.com shall not be responsible for any losses, claims arising out of such joining.
3.You have fully understood and agree that any kinds of complaints, claims arising out of any promises and projections made by any third party will not be entertained by www.fxcapitalfund.com and all such complaints, claims should be at all times be addressed to the person or group of persons who originally made such promises and projections
4. You confirm that you have attained the legal age to enter into a legally valid contact as per the law of the land of the country of your residence. You hereby agree to be an independent contractor and would be fully responsible for undertaking your own activities without any kind of control or directions of Www.fxcapitalfund.com and at no point of time you are or will represent yourself to be an agent, employee or legal representative of www.fxcapitalfund.com. You as an independent contractor will be responsible for all and any kind of state or federal taxes levied presently or in future in relation to your business activities. You will be required to procure all the required state and federal business permissions, licenses etc from the federal, state or any other regulatory body as may be applicable at all times.
5. You agree that to keep this marketing program financially viable and in order to comply with changes in the state, federal and or local laws from time to time, www.fxcapitalfund.com may provide, modify, amend, add, delete any policies and procedure for Independent Representatives which included the Compensation plan as well as the marketing Guide. Upon such revision and alteration such revised policies, procedures, compensation pan, marketing guide shall automatically become an integral part of this agreement and shall be binding on you upon their publication on the official www.fxcapitalfund.com Corporate Website which can be accesses via http://www.Www.fxcapitalfund.com.
6. You have fully understood and agree that the product, services, compensation program offered by www.fxcapitalfund.com has not been reviewed by any attorney general and/or any other regulatory authority and you agree that you shall not represent any contrary claims before others.
7. You understand and agree that you will market and promote www.fxcapitalfund.com, its services and products, the opportunities provided by www.fxcapitalfund.com, the compensation plan offered and other matters, in a manner which is consistent with public interest and at all times avoid being deceptive, discourteous, unethical, misleading, illegal of such conduct and practices which are considered against the law of the land and which may bring disrepute to www.fxcapitalfund.com
8. You understand and agree that you and only you will be responsible for the supervision and providing support to any/all Independent Representatives which have joined the program under your sponsorship and for which commission becomes payable to your in your Downline
9. You agree that www.fxcapitalfund.com reserves a right of termination of this agreement by giving you a 30 (thirty) days written notice in case it has elected to cease the current business operations or elected to dissolve the corporate entity. Further, www.fxcapitalfund.com reserves the right o terminate this agreement and cancel your account at its sole discretion without assigning any reason by servicing upon you a 30 (thirty) days notice at any time.
General Terms:
A. You understand that for the Membership Package, US$ 66 as joining fee as processing/transaction fee is payable, and recurring amount of $66 as yearly subscription & maintenance fee will be charged to member accounts with Valid Balance only. It must be noted that NO Credit Card auto payments will be made ever!
B. www.fxcapitalfund.com is not responsible and liable for any Third parties who may collect additional fees and processing fees. Once you have agreed and signed up, there is no option for you to change your sponsor. In case any account is cancelled or terminated because of a void/fraudulent transaction or any chargeback by the paying bank, the account/position will be immediately cancelled without any notice or opportunity of getting it back and keeping its Downline alive.
C. www.fxcapitalfund.com will pay the commission to its Independent Representative only via Debit card or Wire Transfers and in order to receive the Debit Card from the personal member account by paying a onetime charge of $30 together with Delivery/Postal charges of $5.
D. www.fxcapitalfund.com does not allow multiple membership/member ID/position for a person. The systems of www.fxcapitalfund.com are constantly monitored and incase members with multiple member IDs are detected, all the account of the person will be suspended/terminated without any notice and www.fxcapitalfund.com shall be entitled to withhold and/o forfeit all the funds lying in these accounts. The Legal Department of www.fxcapitalfund.com shall have the sole right to determine the outcome of such cases on a case to case basis depending upon the supporting, documents etc. provided and its findings on investigation of the activities of these accounts.
E. You understand and agree that any commissions accrued, and even paid, are subject to reversal in the event of charge-backs, detection error or fraud at any time.
F. The general payout is made once a month and is available for withdrawal by Wire Transfer or through Debit Cards. The minimum amount eligible for withdrawal is $ 150 and the maximum amount is $ 2500 at one time. www.fxcapitalfund.com may at its sole discretion revise these limits at any time and if required charge to the members account any third party processing charges in connection to the withdrawal, if any. You are entitled to receive commission on all Member Packages directly sold by you and your Downline upto 15 levels.
G. You have understood and agree that our Trading Pool does not guarantee generation of trading profits and all placements are made in the trading pool are purely on voluntary basis
H. You have understood and agree that any kind of display of personal income and commission earned is strictly prohibited. Using the commission statements received from www.fxcapitalfund.com for projection of probable earning to prospective ndependent Representatives is also strictly prohibited. Any such incidence coming to the notice of www.fxcapitalfund.com may lead to the cancellation of membership.
I. You have understood that you are at no point of time an employee of www.fxcapitalfund.com for any State, Federal tax purposes and shall not withhold any amount towards withholding tax unless it is legally required.
J. Under penalties of perjury, you certify that:
a. You are not subject to backup withholding
b. You are exempt from backup withholding, or
c. you are exempt from backup withholding, or
d. you have not been notified by the Internal Revenue Service (IRS) that you are subject to backup withholding as a result of a failure to report all interest and dividends, or
e. the IRS has notified you that you are no longer subject to backup withholding, and
f. If any federal or State tax withholding becomes legally required for you, you will contact www.fxcapitalfund.com immediately
K. All communication will be made to you at the email account provided by you at the time of signing and on our record.
L. You hereby allow and permit www.fxcapitalfund.com to use your name in their newsletters, marketing announcement and at such places it may find the need to do so.
You also agree to share your email address and name with your entire upline.
M. You understand and agree to defend, protect, indemnify and hold www.fxcapitalfund.com, its agents, shareholders, employees, officers, directors, subsidiaries and affiliates, successors and assigns (individually, an "Indemnified Party", collectively, the "Indemnified Parties"), harmless from - and against any and all third party - claims, lawsuits, demands, actions, liabilities, losses, damages and expenses (including but not limited to the amount of any court costs and legal fees) (collectively, "Claims") arising out of or resulting from (I) your breach of this Agreement, (II) the use by you of the www.fxcapitalfund.com products and services and/or materials in a manner not specifically permitted by this Agreement, (III) Claims involving improper labeling or advertising of the www.fxcapitalfund.com products and services by you, or (IV) Claims that trademarks and/or materials that you use in association with your position as an Independent Representative, with the exception of any trademarks and materials supplied to you by Www.fxcapitalfund.com, infringe the rights of third parties. Www.fxcapitalfund.com shall notify you promptly in writing of a Claim for which it may seek indemnification from you under this article. The Indemnified Party shall have the right to participate in the defense of the Claim through counsel of its selection at its own expense. Www.fxcapitalfund.com shall have the right at all times, in its sole discretion, to control the defense of the Claim, and no Claim shall be settled without www.fxcapitalfund.com prior consent.
N. In case, any of the clauses of this Agreement has been ascertained by a court of competent jurisdiction to be void or becomes void due to operation of law or in any measure unenforceable, the parties intend that such determination automatically amend or modify this Agreement by eliminating or modifying only those provisions affected by such determination.
O. You understand and agree that this Agreement is governed by the laws of the state of Panama and as such Www.fxcapitalfund.com does not accept any member from the state of Panama. We don’t accepting any members from USA and Canada
Q. Refund Policy: We do not offer refunds.
R. Notice : All notices will be sent to you via email to your registered email address on record. Www.fxcapitalfund.com may at its discretion notify you of changes to the Terms of Service or other matters by displaying notices or links to notices to you generally on the www.fxcapitalfund.com Terms of Service.
S. Violations: Please report any violations of the Terms of Service by any member to our Customer Service by emailing customer service at: support@fxcapitalfund.com.
